Basically there were creative differences involing his character, I think it had to do with the idea of getting in a program with brock lesnar that saw him losing

Then they wanted Austin to lost to Brock Lesnar in the first round of the King of the Ring Tournament. Austin said that was bad business and walked out. I believe he was unhappy dating back to WrestleMania 18 though.

I've heard it was he didnt want to lose to Lesnar on RAW. He wanted it to build to a fued leading to a PPV and not give the match away for free.

several factors led to his leaving.
1)the Original NWO program was suposed to involve the world titles and Austin,Rock and HHH vs the 3 boys......but when HHH returned he and Steph decided he shouldnt have anything to do with the NWO angle and that he should challenge Jericho at WM18 instead for the world belts outside the NWO angle.how the championship was to be involved I dont know but it was and Austin was meant to be champ and or win the 2002 Rumble.both were changed to suit HHH.Undertaker was also turned heel at HHH/Stephs urgings because there would be too many top line faces.
2)creative differences about a potential Austin/Hogan match at WM18 could not be resolved so Austin went down the card and took on Hall.he was also POd about this.the trouble is said to concern the finish.
3)Lesnar.Austin said he would have jobbed for Lesnar at KOTR(after a build) and have him get revenge at Summerslam or after for the undisputed title.he (rightly)said he would not job to him in a random match
add Austins neck pain which is said to have been awful from Feb 2002 on and his exit was ineveitable

Yea, in the WM19: Mania documentry, he says he didn't want to face Lesnar in a match on Raw, he thought it should have been a PPV match with a build-up.
And I've also heard about him being dissapointed in WMX8, with how far down the match was, I think it should have been further up, I mean it was one of the main fueds

I could understand the WWE booking squad having a nightmare around WM18, for who to book who, where. You had a red hot returning HHH, a virtually new Undisputed WWE Champ (Jericho) WWE poster boys Austin & Rock, returning political masters (Hogan, Hall, Nash) & The Undertaker (who was originally supposed to face Nash at WM18 before the heel turn) all vying for top spots at 'Mania. I've tried booking all different ways involving the above and the WWE couldn't have done it much better, when you write down all possible scenarios.
As far as Austin leaving, he was correct in what he wanted to happen. Austin vs Lesnar should have been KOTR final. Lesnar should have decimated Austin in the final. Then Austin could have taken leave and returned around October, in time for Survivor Series build up for Austin vs Lesnar II. The theme could have been Could Austin beat Brock? Lesnar would have faced The Rock at Summerslam as he did, then Hogan at Unforgiven (beating him easily) much like he did on Smackdown. Then finally No Mercy against Taker in the HIAC with the outcome we had. This would've given Lesnar that unbeatable aura in the build up to Survivors 2002. Austin would beat Brock at SS 2002 then drop the belt to Angle at RR/NWO 2003 so we could have gotten the WM19 we did of Anlge vs Lesnar, and the final Austin vs Rock ever.
